UK-based Gulf Keystone Petroleum has entered into a merger agreement with Bermuda’s ShaMaran Petroleum, aiming to establish a dominant player in Iraq’s Kurdistan oil sector. This alliance is set to create a significant private oil producer, bolstering both companies in an increasingly competitive market.
Details of the Merger Agreement
The all-share merger is valued at approximately $601 million, underscoring the strategic importance of the collaboration. According to the terms disclosed, ShaMaran shareholders will receive 0.075 shares of Gulf Keystone for each ShaMaran share they hold, which reflects a 23 percent premium based on share prices as of October 19. Upon completion of the merger, shareholders from both companies will effectively own equal portions of the newly formed entity.
Future Plans for Listing
Following the merger, Gulf Keystone plans to shift its primary listing to the Euronext Oslo Børs’ main market and will cease its London listing. This strategic move indicates Gulf Keystone’s intention to establish a stronger presence in the European market while enhancing its investment opportunities. Concurrently, the listing of ShaMaran shares will be terminated after the merger closes, simplifying the corporate structure for the new entity.
Enhanced Production Capacity and Reserves
The merged company is projected to benefit from greater scale and diversification, combining estimated reserves of 323 million barrels and production rates of 53,000 barrels of oil daily. This integration is expected to provide both companies with the resources necessary for expansion and operational efficiency, setting a solid foundation for future growth.
Iraq continues to be a focal point in the global oil industry, recently awarding numerous contracts to a variety of international companies, including those from France, the United States, and China. This is part of Baghdad’s broader strategy to enhance its oil production capabilities and attract more foreign investment.
The Booming Oil Sector in Iraq
Recent developments further emphasize Iraq’s burgeoning oil sector. BP and its partners from the U.S. and Turkey recently assumed control of operations at four vital oilfields in northern Iraq. This acquisition aligns with the government’s objectives to ramp up crude oil production and bolster natural gas supplies. With such initiatives, Iraq is clearly positioning itself as an emerging force in the global energy market.
As Gulf Keystone and ShaMaran join forces, their partnership indicates a significant shift in the private oil landscape of Iraq. By capitalizing on shared resources and expertise, the newly formed company is poised to navigate the complexities of the oil market while contributing to Iraq’s ambitious energy goals.
